1. Introduction

Welcome to the AVI Network, operated by The Alliance for Virtuous Intelligence Inc (AVI Inc). By participating in our platform, NFT collection, game, tokens, and broader ecosystem, you agree to the following terms and conditions. These terms are legally binding and encompass all aspects of your interaction with our ecosystem.

2. Definitions

  • AVI Network: The blockchain-based platform featuring a dual-layer architecture, comprising the ERC-20 ARC Token, AVI Coin (Layer 1) and ARC-2031 Protocol Token (Layer 2). This platform is owned and operated by AVI Inc.

  • NFTs: Non-Fungible Tokens representing unique digital assets with utility in the Arc of the Eon ecosystem.

  • Tokens: Cryptographic assets including the temporary ERC-20 ARC Token and planned, native ARC-2031 Protocol Token.

  • Ecosystem: The collective environment of decentralized applications, gaming, NFTs, and tokens provided by AVI Inc.

3. General Conditions

  • Your use of the ecosystem must comply with all applicable laws and regulations.

  • By interacting with the platform, you confirm that you are at least 18 years old or the age of majority in your jurisdiction.

  • AVI Inc retains the right to modify these terms at any time. Continued use of the platform constitutes acceptance of revised terms.

4. NFTs

  • Utility: NFTs serve as game passes, utility multipliers, and access tokens within the ecosystem. They do not represent ownership, equity, or investment in AVI Inc.

  • Ownership: By purchasing an NFT, you own the associated digital asset, subject to its utility limitations.

  • Resale: Resale or transfer of NFTs is permitted, but utility may only be accessible if the NFT remains within the AVI ecosystem.

  • Third-Party Platforms: NFTs may be traded on external marketplaces. AVI Inc is not responsible for interactions outside of our ecosystem.

5. Tokens

  • ERC-20 ARC Token: A temporary placeholder ERC-20 token with limited interim utility, transitioning to the ARC-2031 Protocol Token upon Layer 2 launch.

  • ARC-2031 Protocol Token: The primary utility token for Layer 2, enabling smart contract interactions, staking, and in-game activities.

  • Migration: ERC-20 ARC Tokens will be migrated to ARC-2031 tokens at a 1:1 ratio within a specified migration window.

  • Compliance: Tokens are not financial instruments and are provided solely for utility purposes.

6. Gameplay and Ecosystem Interaction

  • Game Access: Participation in the Arc of the Eon game requires holding an appropriate NFT tier or future purchase of a game pass.

  • Game Development Disclaimer: The production and release of the Arc of the Eon game are not guaranteed. Development depends on a variety of factors, including but not limited to funding availability, technological challenges, and regulatory compliance. AVI Inc reserves the right to adjust, delay, or discontinue game development at its sole discretion without liability to participants or users.

  • Rewards: Token rewards are distributed for ecosystem participation and are subject to change based on platform updates.

  • User Responsibilities: Users are responsible for maintaining secure access to wallets and credentials.

8. Community Conduct Policy

  • Participation in AVI Inc’s community, including platforms such as Discord and other communication channels, is a privilege contingent on compliance with our community guidelines. Any abusive, harassing, or disruptive behavior will result in bans or restrictions, even for users holding NFTs or tokens. AVI Inc reserves the right to enforce these policies to ensure a safe, respectful, and constructive environment for all participants.

9. Compliance and Risk

  • Regulatory Compliance: AVI Inc adheres to applicable regulatory standards but cannot guarantee compliance with every jurisdiction. Users are responsible for ensuring lawful participation.

  • Assumption of Risk: Blockchain technology is experimental and involves risks, including, but not limited to, market volatility, regulatory changes, and technological failures. Users accept these risks by engaging with the ecosystem.

10. Intellectual Property

  • All content, trademarks, and technologies within the ecosystem are proprietary to AVI Inc. Unauthorized use is prohibited.

  • Users retain ownership of assets purchased (e.g., NFTs) but not the underlying intellectual property rights.

11. Limitation of Liability

  • AVI Inc is not liable for any losses, damages, or claims arising from:

    • Blockchain interactions (e.g., gas fees, failed transactions).

    • Misuse of NFTs or tokens.

    • Third-party platform failures.

  • Maximum liability for any claim is limited to the value of direct participation (e.g., the original purchase price of an NFT).

12. Dispute Resolution

  • Disputes will be resolved through binding arbitration under the rules of the jurisdiction where AVI Inc is incorporated.

13. Termination

  • AVI Inc reserves the right to terminate access to the ecosystem for users violating these terms.

14. Governing Law

  • These terms are governed by the laws of the United States, specifically the state of Delaware.
